Terms of Service

1. Provider
These terms govern the services provided by Agilix Technologies Ltd, trading as Serpara (“we”, “us”, “our”), a company registered in the United Kingdom.
2. Services
We provide SEO consultancy and digital marketing services, including but not limited to: SEO audits, monthly SEO management, content strategy, link building, multilingual SEO, and related advisory services.
3. Payment Terms
All services are invoiced monthly unless otherwise agreed in writing. Invoices are due for payment within 14 days of the invoice date. Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Minimum Term
Monthly SEO services are subject to a minimum term of 3 months from the commencement date. This reflects the time required for SEO strategies to take effect and deliver measurable results.
5. Cancellation
After the minimum term, either party may cancel the agreement by providing 30 days' written notice. Notice should be sent via email to [email protected]. One-off services (such as SEO audits) are non-refundable once work has commenced.
6. No Guarantee of Rankings
While we employ industry best practices and data-driven strategies, we cannot and do not guarantee specific search engine rankings or positions. Search engine algorithms are controlled by third parties (including Google) and are subject to change without notice. Any projections or estimates provided are based on our professional experience and are not guarantees.
7. Client Obligations
The client agrees to provide timely access to website platforms, analytics accounts, and any other materials reasonably required to deliver the agreed services. Delays caused by the client may impact timelines and deliverables.
8. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.
- We shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunity.
- Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence.
9. Intellectual Property
All content, strategies, and deliverables created by Serpara become the property of the client upon full payment. We reserve the right to reference the engagement in case studies and marketing materials unless otherwise agreed in writing.
10. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
